⚖️ Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Professional," "you," or "User") and Call Bids ("we," "us," or "Company") governing your use of the Call Bids platform at call-bids.com and all related services.

By clicking "Create Account," signing in via Google or Facebook, or otherwise accessing the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not use the platform.

📞 The Platform

Call Bids operates a pay-per-call lead generation marketplace that connects consumers searching for services with qualified local service professionals. The platform works as follows:

• Professionals ("you") create campaigns by selecting a service category, target geographic area, and a bid price per call
• Consumers searching for services call a Call Bids tracking number
• Our system routes the call to the highest-bidding active professional in the relevant area
• You are charged only if the call connects to your phone and lasts 60 seconds or more
• Calls shorter than 60 seconds are not billed

✅ Eligibility

To use Call Bids, you must:

• Be at least 18 years of age
• Be a legitimate business owner or sole proprietor operating in the United States
• Hold any licenses, certifications, or permits required by your state or municipality to perform the services you advertise
• Have a valid US phone number capable of receiving calls
• Have a valid payment method (credit card, Apple Pay, or Google Pay)
• Not have been previously suspended or banned from Call Bids

👤 Account Registration

You must provide accurate, complete, and current information when registering. You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activity that occurs under your account
• Immediately notifying us of any unauthorized access at [email protected]
• Keeping your contact information, phone number, and payment method up to date

You may not create more than one account per business entity. Accounts are non-transferable.

You may sign in using Google or Facebook OAuth. By doing so, you authorize Call Bids to receive your name and email address from those providers in accordance with their respective privacy policies.

🎯 Bidding & Campaigns

When creating a campaign, you agree that:

• Your bid represents the maximum amount you will pay per billable call in that campaign
• Bids must be within the minimum and maximum range set for your profession and service radius
• You may pause or cancel a campaign at any time from your dashboard — pausing takes effect within 60 seconds
• A monthly budget cap, if set, will automatically pause your campaign when reached
• Campaigns automatically resume on the 1st of the following month when a monthly budget is reached
• You are solely responsible for ensuring your bid is appropriate and competitive for your market
• Call Bids does not guarantee that your campaign will win any specific call or achieve any specific win rate

💳 Calls & Billing

Billable calls: A call is billable when it connects to your registered phone number and lasts 60 seconds or more. You agree to pay your bid amount for each billable call.

Billing methods:

Payment failures: If a charge fails, we will retry up to 3 times over 7 days. If all retries fail, your campaigns will be automatically paused and you will be notified. You must update your payment method to resume campaigns.

Disputes: If you believe a call was incorrectly billed (e.g., spam, wrong number, or a call shorter than 60 seconds), you may dispute it within 30 days of the charge by contacting [email protected]. We will investigate and, if valid, issue a credit to your account.

🚫 Prohibited Conduct

You agree not to engage in any of the following:

• Fraud: Generating fake calls, using your own number to call yourself, ring-back fraud, or any scheme to avoid legitimate billing
• Misrepresentation: Advertising services you are not licensed or qualified to provide
• Harassment: Using caller information to harass, spam, or contact callers outside the context of the received lead
• Illegal services: Using the platform to advertise unlawful services or activities
• Account sharing: Sharing login credentials or allowing others to access your account
• Reverse engineering: Attempting to reverse engineer, scrape, or extract data from the platform
• Circumvention: Attempting to circumvent billing, routing logic, or auction systems
• Abuse: Any conduct that disrupts or degrades the platform's performance for other users

©️ Intellectual Property

All content, features, and functionality of the Call Bids platform — including but not limited to the design, code, graphics, text, logos, and trademarks — are owned by Call Bids and protected by US and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your legitimate business purposes as described in these Terms.

You may not copy, modify, distribute, sell, or create derivative works from any part of the platform without prior written consent from Call Bids.

By submitting feedback, ratings, or other content on the platform, you grant Call Bids a non-exclusive, royalty-free license to use, display, and analyze that content to improve the platform.

⚠️ Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees of uninterrupted, error-free, or secure access to the platform
• Guarantees regarding the quality, quantity, or outcome of leads received
• Guarantees that calls will result in completed jobs or revenue for your business

Call Bids does not verify the accuracy of information provided by callers. We are not responsible for the outcome of any call or business relationship formed through the platform.

🛡️ Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALL BIDS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from your use of or inability to use the platform
• Unauthorized access to your account or data
• Any conduct or content of third parties on or through the platform

IN NO EVENT SHALL CALL BIDS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO CALL BIDS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow limitations on implied warranties or exclusions of incidental or consequential damages. In such cases, the above limitations apply to the maximum extent permitted by law.

🤝 Indemnification

You agree to defend, indemnify, and hold harmless Call Bids and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the platform or services received through it
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights
• Any services you provide or fail to provide to consumers who called through our platform
• Any dispute between you and a consumer or another professional

🔒 Termination

By you: You may close your account at any time from your dashboard settings or by emailing [email protected]. Any outstanding charges for billable calls will be invoiced upon account closure.

By Call Bids: We reserve the right to suspend or terminate your account immediately and without prior notice if we determine, in our sole discretion, that you have:

• Violated any provision of these Terms
• Engaged in fraudulent, deceptive, or illegal activity
• Failed to pay outstanding charges after all retry attempts have failed
• Posed a risk to the safety or integrity of our platform, other users, or consumers

Upon termination, your right to access the platform immediately ceases. Sections 8, 9, 10, 11, 13, and 14 of these Terms survive termination.

⚖️ Dispute Resolution

Informal resolution: Before initiating any legal proceedings, you agree to contact Call Bids at [email protected] and attempt to resolve the dispute informally. We will make a good-faith effort to resolve any dispute within 30 days.

Binding arbitration: If informal resolution fails, any dispute arising from or related to these Terms or the platform shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), not in a court of law.

• Arbitration shall be conducted in English
• Each party shall bear its own costs unless the arbitrator awards otherwise
• The arbitrator's decision is final and binding

Class action waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

🗺️ Governing Law

These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the federal and state courts located in the United States.

🔄 Changes to Terms

We may modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page
• Send an email notification to your registered address at least 14 days before changes take effect
• Display a notice on your dashboard on next login

Your continued use of the platform after the effective date of any changes constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the platform and close your account before the effective date.
